DIRTYRIDES MTB APPAREL LTD – Terms and Conditions of Sale

The Buyer’s attention is particularly drawn to Clause 12 (Limitation of Liability).

1. Definitions

In these Conditions, the following definitions apply:

Buyer

The person, firm, or company who purchases or agrees to purchase the Goods from the Seller.

Conditions

These terms and conditions of sale, together with any special terms agreed in writing by a director of the Seller.

Goods

Mountain bike apparel, riding gear, accessories, helmets, jerseys, pants, gloves, protective equipment, and related products supplied by the Seller as set out in the Seller’s order confirmation.

Price

The price payable for the Goods, inclusive or exclusive of VAT as stated at checkout, and excluding delivery or other charges unless otherwise specified.

Force Majeure Event

Has the meaning given in clause 11.1.

Contract

The agreement between the Seller and the Buyer for the sale and purchase of the Goods in accordance with these Conditions.

2. Basis of Contract

2.1 These Conditions apply to all Contracts for the sale of Goods by the Seller to the Buyer, to the exclusion of all other terms and conditions.

2.2 Any order placed by the Buyer constitutes an offer to purchase Goods subject to these Conditions.

2.3 The Contract shall only be deemed accepted when the Seller issues an order confirmation or dispatches the Goods.

2.4 Acceptance of delivery of the Goods shall constitute conclusive evidence of acceptance of these Conditions.

2.5 These Conditions represent the entire agreement between the Seller and the Buyer.

3. Price

3.1 Prices are as displayed on the Seller’s website at the time of order.

3.2 All Prices are subject to VAT at the applicable rate where applicable.

3.3 Delivery charges and any additional costs will be clearly displayed at checkout before the Buyer confirms the order.

3.4 The Seller reserves the right to amend Prices at any time prior to order acceptance.

4. Payment and Interest

4.1 Payment must be made in full at the time of order via the payment methods made available on the website.

4.2 Orders will not be processed or dispatched until payment has been received in cleared funds.

4.3 If payment is reversed, declined, or charged back, the Seller reserves the right to suspend or cancel the order.

5. Goods

5.1 The Goods shall correspond substantially with their description on the Seller’s website.

5.2 Product images are for illustrative purposes only. Colours, finishes, and materials may vary slightly due to manufacturing processes or screen display settings.

5.3 The Seller reserves the right to amend product specifications without notice where required by suppliers or manufacturers.

6. Warranties

6.1 The Seller warrants that the Goods shall be of satisfactory quality and fit for purpose in accordance with the Sale of Goods Act 1979.

6.2 Some Goods may be subject to a manufacturer’s warranty. Where applicable, it is the Buyer’s responsibility to register the product with the manufacturer.

6.3 This warranty does not apply to defects arising from:
a) fair wear and tear;
b) misuse, negligence, or improper care;
c) failure to follow care or usage instructions;
d) damage caused after delivery;
e) unauthorised modification or alteration.

6.4 Helmets and protective equipment must not be used after impact. The Seller accepts no liability for continued use after damage.

7. Delivery

7.1 Goods will be delivered to the address specified at checkout.

7.2 Delivery times are estimates only and are not guaranteed.

7.3 The Seller shall not be liable for delays caused by couriers, customs, weather, or other events beyond its control.

7.4 Risk of loss or damage passes to the Buyer upon delivery.

8. Inspection and Acceptance

8.1 The Buyer must inspect Goods promptly upon receipt.

8.2 Any defects, shortages, or incorrect items must be reported to the Seller within 48 hours of delivery.

8.3 Subject to verification, the Seller may offer a replacement, repair, or refund at its discretion.

8.4 Goods must not be worn, used, or washed before inspection.

9. Title and Risk

9.1 Risk passes to the Buyer upon delivery.

9.2 Title to the Goods shall not pass until payment has been received in full.

9.3 Until title passes, the Buyer must not resell or dispose of the Goods.

10. Delivery Charges

10.1 Delivery charges are calculated at checkout.

10.2 Free delivery promotions apply only where stated and may be subject to conditions.

10.3 Failed delivery attempts may result in additional charges.

11. Force Majeure

11.1 A Force Majeure Event includes any circumstance beyond the Seller’s reasonable control, including (without limitation) strikes, supply chain disruption, acts of God, pandemics, adverse weather, or courier failure.

11.2 The Seller shall not be liable for failure or delay in performance due to a Force Majeure Event.

12. Limitation of Liability

THE BUYER’S ATTENTION IS PARTICULARLY DRAWN TO THIS CLAUSE

12.1 Nothing in these Conditions shall limit or exclude liability for:
a) death or personal injury caused by negligence;
b) fraud or fraudulent misrepresentation;
c) statutory consumer rights.

12.2 Subject to clause 12.1, the Seller shall not be liable for:
a) loss of profits, business, or revenue;
b) indirect or consequential loss;
c) misuse of Goods.

12.3 The Seller’s total liability shall not exceed the total Price paid for the Goods giving rise to the claim.

13. General

13.1 Notices

All notices must be in writing and sent to the Seller’s registered address or email.

13.2 Waiver

Failure to enforce any provision shall not constitute a waiver.

13.3 No Partnership

Nothing in this Contract creates a partnership or agency relationship.

13.4 Third Parties

No third party shall have rights under this Contract.

13.5 Governing Law

This Contract shall be governed by the laws of Northern Ireland.

13.6 Jurisdiction

The courts of Northern Ireland shall have exclusive jurisdiction.
